TERMS OF SERVICE AND PROVIDER AGREEMENT

Effective Date: 25 May 2026

These Terms of Service (“Terms”) govern the use of accreditation, review, assessment, verification, certification, advisory, and related services provided by International Quality Assessments Ltd, trading as CPD International Quality (“CPD IQ”, “we”, “our”, or “us”).

By submitting materials, registering an account, purchasing services, or using our platform, you agree to comply with these Terms.

1. ABOUT CPD IQ

1.1 CPD IQ is an independent assessment and quality review organisation that evaluates learning activities, training programmes, educational materials, workshops, seminars, events, and related professional development content.

1.2 Our services are intended for businesses, institutions, organisations, and professional training providers.

1.3 CPD IQ does not guarantee business success, commercial performance, regulatory approval, employment outcomes, or academic recognition.

1.4 Approval or recognition by CPD IQ applies only to the specific learning activity or materials reviewed and does not constitute endorsement of an entire organisation unless expressly stated in writing.

2. ELIGIBILITY

2.1 You may only use our services if you are legally authorised to act on behalf of your organisation or business.

2.2 You confirm that all information provided to us is accurate, complete, and not misleading.

2.3 We reserve the right to refuse, suspend, or terminate applications at our discretion.

3. SERVICES

3.1 CPD IQ may provide services including but not limited to:

  • Educational content review

  • Continuing professional development assessment

  • Provider verification

  • Quality benchmarking

  • Course recognition

  • Certificate verification

  • Advisory services

  • Digital badges and recognition marks

  • Listing and directory services

3.2 We may modify, improve, suspend, or discontinue services at any time.

3.3 Service availability may vary depending on membership level, subscription plan, or purchased package.

4. APPLICATIONS AND SUBMISSIONS

4.1 Providers may submit educational or professional development materials for assessment.

4.2 Submission of materials does not guarantee approval.

4.3 We may request revisions, supporting evidence, policies, instructor credentials, or additional documentation before making a decision.

4.4 You remain fully responsible for the accuracy, legality, ownership, and quality of all submitted materials.

4.5 You must ensure that your materials do not infringe intellectual property rights, privacy rights, or applicable laws.

5. QUALITY REVIEW PROCESS

5.1 CPD IQ assessments are conducted according to internal quality review standards and operational procedures.

5.2 We reserve the right to approve, reject, suspend, withdraw, or reassess recognition at any time.

5.3 Recognition decisions are based on the materials submitted at the time of assessment.

5.4 Changes made after approval may require reassessment.

5.5 CPD IQ may conduct periodic audits or compliance reviews to maintain quality standards.

6. USE OF CPD IQ RECOGNITION

6.1 Approved providers may use authorised CPD IQ branding, recognition statements, or badges only during the active approval period.

6.2 Recognition may only be used in relation to approved activities or materials.

6.3 Providers must not make misleading claims regarding accreditation, endorsement, governmental approval, or international recognition.

6.4 You may not alter, distort, or misuse CPD IQ logos, certificates, badges, or branding assets.

6.5 All goodwill associated with CPD IQ branding remains the property of International Quality Assessments Ltd.

7. INTELLECTUAL PROPERTY

7.1 All CPD IQ branding, graphics, systems, documents, templates, website content, and proprietary processes remain our intellectual property unless otherwise stated.

7.2 Submission of materials does not transfer ownership to CPD IQ.

7.3 You grant us a non-exclusive right to:

  • Review submitted materials

  • Store records related to assessments

  • Display your organisation name as a recognised provider where applicable

  • Reference approved activities in directories, listings, and promotional materials

7.4 You confirm that you possess the rights necessary to submit all content and materials.

8. FEES AND PAYMENTS

8.1 Fees must be paid in accordance with the applicable invoice or subscription arrangement.

8.2 Unless otherwise agreed in writing, fees are non-refundable once assessment work has commenced.

8.3 Failure to make payment may result in:

  • Suspension of services

  • Removal of recognition

  • Restriction of account access

  • Additional recovery action

8.4 Renewal pricing may change from time to time. Updated pricing will be communicated before renewal.

9. RENEWALS AND TERMINATION

9.1 Recognition, subscriptions, or memberships may operate on fixed-term or recurring renewal periods.

9.2 Either party may choose not to renew by providing written notice before the renewal date.

9.3 CPD IQ may suspend or terminate services immediately where:

  • False or misleading claims are made

  • Fees remain unpaid

  • Materials breach laws or regulations

  • Brand misuse occurs

  • Conduct damages the reputation of CPD IQ

9.4 Upon termination or expiry, all rights to use CPD IQ branding, recognition claims, and badges immediately cease.

10. PROVIDER RESPONSIBILITIES

10.1 Providers are responsible for maintaining:

  • Accurate course information

  • Instructor competency

  • Learner support standards

  • Legal compliance

  • Data protection compliance

10.2 Providers remain solely responsible for learner outcomes, complaints, refunds, disputes, and regulatory obligations.

10.3 Providers must promptly notify us of significant organisational changes that may affect approved activities.

11. WEBSITE AND DIGITAL SERVICES

11.1 We do not guarantee uninterrupted access to our website, systems, or digital services.

11.2 We may perform maintenance, upgrades, security reviews, or platform changes without prior notice.

11.3 Users must not attempt to:

  • Access restricted systems

  • Interfere with platform security

  • Copy proprietary systems

  • Use services unlawfully

12. LIMITATION OF LIABILITY

12.1 To the maximum extent permitted by law, CPD IQ shall not be liable for:

  • Indirect losses

  • Business interruption

  • Loss of profits

  • Reputational damage

  • Data loss

  • Third-party actions

12.2 Our total liability arising from any claim shall not exceed the amount paid by the provider for the relevant service during the preceding twelve months.

12.3 Nothing in these Terms excludes liability that cannot legally be excluded under English law.

13. CONFIDENTIALITY

13.1 Both parties agree to protect confidential business information received during the course of the relationship.

13.2 Confidential information may be disclosed where required by law, court order, or regulatory obligation.

14. DATA PROTECTION

14.1 We process personal information in accordance with applicable UK data protection legislation.

14.2 Providers are responsible for ensuring they have lawful authority to share personal data with us.

14.3 Our Privacy Policy forms part of these Terms.

15. COMPLIANCE AND ETHICS

15.1 Providers must operate lawfully and ethically.

15.2 CPD IQ reserves the right to reject or remove providers associated with:

  • Fraudulent conduct

  • Academic misconduct

  • Misleading advertising

  • Illegal activity

  • Hate speech or discrimination

  • Unsafe educational practices

16. FORCE MAJEURE

16.1 We shall not be responsible for delays or failures caused by events beyond reasonable control, including but not limited to:

  • Cyber attacks

  • Internet outages

  • Government restrictions

  • Natural disasters

  • War

  • Labour disputes

17. GOVERNING LAW

17.1 These Terms shall be governed by and interpreted in accordance with the laws of England and Wales.

17.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

19. ENTIRE AGREEMENT

19.1 These Terms constitute the full agreement between the parties regarding the services provided by CPD IQ.

19.2 No verbal statements or prior communications shall override these Terms unless confirmed in writing.
